Terms of Service
The agreement between your organization and Searchedly for using Searchedly.
Last updated
Draft pending legal review
These Terms of Service ("Terms") are an agreement between Searchedly ("Searchedly", "we", "us") and the organization that creates a Searchedly account ("Customer", "you"). The person who creates the organization confirms they are authorized to accept these Terms for it. If you don't agree, don't use Searchedly.
These Terms incorporate the Acceptable Use Policy and the Data Processing Addendum. Our Privacy Policy explains how we handle personal data.
1. The service
Searchedly helps software companies understand and improve how AI assistants and AI agents discover, describe and use their products. Features include AI visibility reports, optimization recommendations, a public agent directory, hosted connectors and APIs that let AI agents use your product, and tools for agent-driven sign-ups and purchases (together, the "Service"). Features available to you depend on your plan.
We may improve, change or retire features. If we remove a feature that is material to a paid plan, we'll tell you at least 30 days in advance and you may cancel and receive a prorated refund of prepaid fees for that plan.
2. Accounts and organizations
- Each person needs their own account. Keep sign-in details confidential and turn on two-step verification where available.
- Organization Owners and Admins control who has access and with which role. You are responsible for activity under your organization's accounts.
- Tell us promptly at security@searchedly.com if you suspect unauthorized access.
- You must be at least 18 and able to form a binding contract. The Service is for business use, not personal or household use.
3. Plans, fees and taxes
- The Free plan is provided without charge and may have usage limits. Paid plans are subscriptions billed in advance, monthly or yearly, at the price shown before you confirm. Paid plans may start with a free trial; you'll be charged when the trial ends unless you cancel before then. Each organization can have one free trial.
- Automatic renewal. Subscriptions renew automatically for the same period at the then-current price until cancelled. You authorize us and our payment provider to charge your payment method for each renewal, upgrades, and any usage charges you've turned on.
- Changing plans. Upgrades take effect immediately and the prorated difference for the rest of the period is charged right away. Downgrades take effect immediately with a prorated credit applied to future invoices.
- Cancelling. You can cancel any time from the Billing page. Cancellation takes effect at the end of the current paid period, and you keep paid features until then. You can resume before that date.
- Fees are non-refundable except where these Terms or the law say otherwise. Fees exclude taxes; you're responsible for applicable taxes other than taxes on our income.
- If a payment fails, we'll notify you and retry. If it's still unpaid after 7 days, paid features are paused until the invoice is paid. Your data isn't deleted.
- We may change prices for future billing periods with at least 30 days' notice.
- Usage above your plan's included limits is either blocked or, if you've turned on overage, billed per unit up to the monthly cap you set, as shown on the Billing page. Never silently.
4. Your data
"Customer Data" means data you or your users submit to the Service, including product information, connector settings, secrets, content and data your connected systems send through the Service.
- You own Customer Data. You give us a limited licence to host, process, transmit and display it only to provide, secure and improve the Service and as you instruct.
- When we process personal data in Customer Data, we act as your processor under the Data Processing Addendum.
- We don't sell Customer Data and we don't use it to train AI models.
- You are responsible for having the rights and permissions to submit Customer Data and to connect the systems you connect.
- You can export your data while your account is active and for 30 days after it ends. We then delete it as described in the DPA.
5. AI-generated results
Parts of the Service use third-party AI systems, and report what AI assistants say about companies. AI output can be incomplete, outdated or wrong, and AI providers change their systems without notice. Visibility scores, rankings and recommendations are estimates, not guarantees of any business outcome. Review AI-generated content before you publish or rely on it.
6. Agents, connectors and commerce
- When you publish connectors, APIs or directory listings, you decide what AI agents may do, with which permissions. You are responsible for those choices and for your own product's behaviour when called by an agent.
- Agent-initiated sign-ups and purchases may be subject to additional terms we present when you enable those features.
- Directory listings must be accurate and must not contain hidden instructions intended to manipulate AI agents. See the Acceptable Use Policy.
7. Acceptable use
You must follow the Acceptable Use Policy. We may suspend access that violates it or that threatens the security or availability of the Service. Where reasonable, we'll tell you first and give you a chance to fix the issue.
8. Our property
We own the Service, including its software, design and documentation. You won't copy, resell, reverse engineer (except where the law allows), or use the Service to build a competing product. Feedback you give us may be used without obligation to you.
9. Third-party services
The Service connects to third-party services you choose (for example AI assistants, analytics or payment providers). Your use of them is governed by their terms. We're not responsible for third-party services, but we choose our own subprocessors carefully; see Subprocessors.
10. Confidentiality
Each party will protect the other's non-public information with at least reasonable care, use it only for this agreement, and share it only with people who need to know it and are bound by similar obligations. This doesn't cover information that is public, already known, independently developed or lawfully received from someone else. Disclosure required by law is allowed with prompt notice where lawful.
11. Security
We maintain the security measures described on our Security page and in the DPA, and we'll notify you of a personal data breach affecting your data as described in the DPA.
12. Warranties and disclaimers
Each party confirms it has the authority to enter into these Terms. We'll provide the Service with reasonable skill and care. Otherwise, to the extent the law allows, the Service is provided "as is" and we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't promise the Service will be uninterrupted or error-free.
13. Limitation of liability
To the extent the law allows:
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility.
- Each party's total liability under these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim (or US $100 if you're on the Free plan).
These limits don't apply to your payment obligations, a party's indemnity obligations, or liability that can't be limited by law.
14. Indemnity
You'll defend us against third-party claims arising from Customer Data or your use of the Service in breach of these Terms, and pay resulting damages and reasonable costs. We'll defend you against third-party claims that the Service, as we provide it, infringes their intellectual property rights, and pay resulting damages and reasonable costs. The indemnified party must give prompt notice, reasonable help and control of the defence.
15. Term, suspension and termination
These Terms last while you use the Service. You can cancel any time; paid plans run to the end of the billing period. Either party may end these Terms if the other materially breaches them and doesn't fix the breach within 30 days of notice. Sections that by their nature should survive (including data export, confidentiality, liability and indemnity) survive termination.
16. Changes to these Terms
We'll give at least 30 days' notice by email to organization Owners and on this page before a material change takes effect. Continuing to use the Service after that date means you accept the change. If you don't accept a material change to a paid plan, you may cancel before it takes effect and receive a prorated refund.
17. General
- Governing law. These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Disputes go to the state and federal courts located in Duval County, Florida, and both parties consent to that jurisdiction.
- Notices. We send notices to the Owner's email address. Send legal notices to legal@searchedly.com.
- Assignment. Neither party may assign these Terms without consent, except to a successor in a merger or sale of substantially all its assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Entire agreement. These Terms, the documents they incorporate and any order form are the entire agreement. If an order form conflicts with these Terms, the order form wins for that order.
- Export and sanctions. You won't use the Service in violation of export control or sanctions laws.
- No waiver; severability. Not enforcing a term isn't a waiver. If a term is unenforceable, the rest still applies.
